Terms of Service

1. Introduction & Acceptance

Welcome to TaskStaq, an AI-powered kanban board application operated by MetaWear s.r.o.("we", "us", "our").

By accessing or using TaskStaq at app.taskstaq.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Account Registration & Eligibility

2.1 Age Requirement

You must be at least 13 years old to use TaskStaq. By creating an account, you confirm that you meet this age requirement.

2.2 OAuth Authentication

TaskStaq uses OAuth-only authentication via Google or GitHub. We do not store passwords. By signing in, you authorize us to:

• Receive your name, email address, and profile image from your OAuth provider
• Create and maintain an account linked to your OAuth identity
• Store your task management data (projects, cards, AI conversations)

You are responsible for maintaining the security of your Google or GitHub account.

2.3 Account Accuracy

You agree to provide accurate information and keep your account details current. Misrepresentation or impersonation may result in account termination.

3. Account Types & Resource Limits

TaskStaq offers two account tiers: Free and PRO.

3.1 Free Accounts

Available to all users. Resource limits:

Only active cards (non-archived) count toward the card limit.

3.2 PRO Accounts (Invite-Only)

PRO is currently an invite-only beta tier. PRO status is granted manually by our team. PRO accounts receive:

• Focus Board — Schedule-based agenda view with priority grouping
• Hosted AI — Use TaskStaq's platform AI key (50 messages/day)
• Custom share link slugs — Vanity URLs like /share/acme-roadmap

3.3 Future Pricing

PRO is currently provided at no charge on an invite-only basis. We reserve the right to introduce paid subscription plans in the future. If we do, existing PRO users will be notified at least 30 days in advance and may continue using the Service under the new terms or cancel their accounts.

3.4 Resource Limit Enforcement

When you reach a resource limit, you will not be able to create additional items of that type until you delete existing items (or permanently delete archived items), or upgrade to PRO (if available). We enforce these limits on all creation paths: web UI, API, MCP server, and AI tools.

4. AI Assistant Features

4.1 Three AI Modes

4.2 AI Disclaimers

You acknowledge and agree that:

• AI-generated content may be inaccurate, incomplete, or misleading. AI models can hallucinate, produce outdated information, or make factual errors. You are solely responsible for verifying all AI outputs before relying on them.
• We are not liable for AI errors. Any decisions you make based on AI-generated content are your own responsibility.
• AI conversations are stored. Your AI chat history is saved per-project in our database and can be viewed/deleted by you at any time. See our Privacy Policy for details.

4.3 User-Provided API Keys (Custom Mode)

If you choose Custom mode and provide your own API keys (OpenAI, Anthropic, Google, ElevenLabs, or any OpenAI-compatible endpoint):

• You are responsible for all usage charges incurred with the AI provider. We do not control or pay for these services.
• We encrypt your API keys using AES-256-GCM encryption at rest, but you are responsible for keeping your keys secure, monitoring your usage and billing with the provider, and revoking keys if they are compromised.
• We cannot refund charges from third-party AI providers.

4.4 Hosted AI (PRO "On" Mode)

If you use Hosted AI (PRO users only):

• You are limited to 50 messages per day (configurable by us).
• We reserve the right to suspend or terminate hosted AI access for abuse, excessive usage, or violations of AI provider terms.
• Your conversation data is sent to our selected AI provider (currently OpenAI or Anthropic) via our backend. See our Privacy Policy for data sharing details.

5. User Responsibilities

5.1 Acceptable Use

You agree not to use TaskStaq to:

• Store, share, or transmit illegal content, including but not limited to: child sexual abuse material, content promoting violence, hate speech, or content that violates intellectual property rights
• Harass, threaten, or abuse other users
• Attempt to gain unauthorized access to the Service, other accounts, or our systems
• Use automated tools (bots, scrapers) to access the Service without our written permission, except via our official API/MCP server
• Reverse engineer, decompile, or disassemble the Service
• Interfere with or disrupt the Service's operation or infrastructure
• Use the Service to send spam, phishing attempts, or malicious content
• Violate any applicable laws or regulations

5.2 Content Responsibility

You are solely responsible for:

• All content you create, upload, or share (projects, cards, tags, notes, AI prompts, comments)
• Ensuring you have the necessary rights to use and share any content
• Complying with applicable data protection laws (GDPR, etc.) if you process personal data of others

We do not pre-screen user content but reserve the right to review and remove content that violates these Terms.

5.3 Share Links

TaskStaq allows you to create public share links that make your projects visible to anyone with the URL. When you create a share link:

• You are responsible for ensuring the shared content does not contain confidential, sensitive, or private information.
• Share links are public by default and can be accessed by anyone who has the URL (including search engines if indexed).
• We are not liable for unauthorized access to shared content if you distributed the link.

5.4 API Token Security

If you create API tokens for programmatic access:

• You are responsible for keeping tokens secure. Treat them like passwords.
• We are not liable if a leaked token is used to access or modify your data.
• API tokens can have expiration dates (7 days, 30 days, 90 days, 1 year, or never).
• You can revoke tokens at any time via Settings → API.

6. Data & Privacy

6.1 Privacy Policy

Your use of TaskStaq is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data.

6.2 Data Ownership

You retain ownership of all content you create in TaskStaq (projects, cards, tags, notes, AI conversations). By using the Service, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service.

6.3 Soft-Delete & Data Recovery

When you delete a card in TaskStaq:

• The card is soft-deleted and moved to the Archive.
• Archived cards do not count toward your resource limits.
• You can restore archived cards at any time.
• To permanently delete a card, you must use the "Permanent Delete" option in the Archive view.

When you delete a project, all associated data (columns, cards, tags, groups, AI conversations, share links) are permanently deleted via cascade deletion. This action cannot be undone.

6.4 Account Deletion

To delete your account, contact us at info@metawear.cz. We will delete:

• All account information (name, email, profile image)
• All projects, cards, tags, groups, AI conversations, settings
• All OAuth tokens and session cookies
• All API tokens and share links

Data Retained After Deletion: AI audit logs are retained for 90 days for security and compliance purposes. These logs contain only tool names, timestamps, and success/error status — not the content of your tasks.

6.5 Data Exports

We currently do not offer a self-service data export feature. To request a JSON export of your data, contact us at info@metawear.cz. We will provide your data within 30 days.

Self-service data export UI is coming soon.

7. AI Audit Logging

For security, abuse prevention, and compliance, we maintain a permanent audit log of all AI tool invocations. This log records:

• User ID
• Tool name (e.g., create_card, delete_project)
• Tool input parameters (sanitized, max 2KB)
• Success/error status
• Timestamp

Important:

• This log is append-only and cannot be edited or deleted by users.
• Logs are retained for 90 days after creation.
• Logs do not contain the full content of your tasks or AI conversations — only metadata about which tools were called.
• This logging is necessary to detect abuse, respond to security incidents, and maintain service integrity.

By using AI features, you consent to this logging.

8. Intellectual Property

8.1 Service Ownership

TaskStaq, including its code, design, branding, and features, is owned by MetaWear s.r.o. and protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or business purposes, subject to these Terms.

8.2 User Content

You retain all rights to content you create in TaskStaq. By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to:

• Store, process, and display your content
• Use anonymized, aggregated data for analytics and service improvement

We will never:

• Sell your content to third parties
• Use your content for advertising purposes
• Share your content publicly without your permission (except via share links you create)

8.3 Feedback

If you provide feedback, suggestions, or ideas about TaskStaq, you grant us the right to use and incorporate them into the Service without compensation or attribution.

9. Service Availability & Limitations

9.1 Beta Service

TaskStaq is currently in beta. The Service is provided "as is" without warranties of any kind.

You acknowledge that:

• The Service may experience downtime, bugs, or data loss
• Features may change or be removed without notice
• We do not guarantee 99.9% uptime or any specific SLA
• We may suspend or terminate the Service at any time

9.2 No Liability for Data Loss

We are not liable for data loss, corruption, or unavailability, whether caused by server failures or outages, database errors, user error (accidental deletion), third-party service failures (Railway hosting, OAuth providers, AI providers), or force majeure events.

You are responsible for maintaining backups of critical data. We recommend exporting important projects regularly (contact us for manual export).

9.3 Third-Party Dependencies

TaskStaq relies on third-party services:

• Hosting: Railway (EU servers, Amsterdam, Netherlands)
• OAuth: Google, GitHub
• AI Providers: OpenAI, Anthropic, Google, ElevenLabs (when enabled)

We are not responsible for outages, security breaches, or changes to these third-party services.

10. Limitation of Liability

To the maximum extent permitted by law:

10.1 No Consequential Damages

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, or business opportunities, loss of data or content, cost of substitute services, or business interruption.

This applies even if we were advised of the possibility of such damages.

10.2 Liability Cap

Our total liability for any claim arising from your use of TaskStaq is limited to €100 (one hundred euros), or the amount you paid us in the 12 months preceding the claim (currently €0 for all users), whichever is greater.

10.3 Exceptions

Nothing in these Terms limits our liability for:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Any liability that cannot be excluded under applicable law

11. Indemnification

You agree to indemnify and hold harmless MetaWear s.r.o., its directors, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your violation of any law or third-party rights
• Your use of the Service (including AI-generated content, shared links, or API access)
• Content you create, upload, or share

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us at info@metawear.cz. Upon termination:

• Your access to the Service will be revoked
• Your data will be deleted as described in Section 6.4
• Any outstanding obligations (if future paid plans exist) remain enforceable

12.2 Termination by Us

We may suspend or terminate your account immediately without notice if:

• You violate these Terms
• You engage in abusive, illegal, or harmful behavior
• Your account is used for spam, fraud, or unauthorized access attempts
• You exceed resource limits repeatedly after warnings
• We are required to do so by law or legal process

Effect of Termination: All data will be deleted (except audit logs retained for 90 days). You will lose access to all projects, cards, and AI conversations. PRO status (if applicable) will be revoked without refund.

12.3 Survival

The following sections survive termination: 6 (Data & Privacy), 7 (Audit Logging), 8 (Intellectual Property), 10 (Limitation of Liability), 11 (Indemnification), 14 (Governing Law).

13. Changes to These Terms

We may update these Terms from time to time to reflect changes in the Service, legal or regulatory requirements, or clarifications to language.

How We Notify You:

• Update the "Last Updated" date at the top of this page
• Send an email notification for material changes (e.g., introduction of paid plans, significant liability changes)
• Display a notice in the Service

Your continued use of TaskStaq after changes constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service and may request account deletion.

14. Governing Law & Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the Czech Republic, without regard to conflict of law principles.

14.2 Jurisdiction

Any disputes arising from these Terms or your use of TaskStaq shall be resolved in the courts of Ostrava, Czech Republic.

14.3 EU Users

If you are a consumer located in the European Union, you retain any mandatory consumer protection rights under your local law, including the right to bring proceedings in your country of residence.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MetaWear s.r.o. regarding TaskStaq.

16.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect.

16.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any affiliate or successor without restriction.

16.5 Language

These Terms are provided in English. If translated, the English version prevails in case of conflict.
